One Application Service Agreement

Effective: August 8, 2026

Status: Operational draft for Hong Kong legal review before production use

This One Application Service Agreement (“Agreement”) is between QICE Capital Partners Limited, trading as ASIA Members Club (“AMC”), and the Applicant identified in the confirmed Request Brief.

1. The confirmed Request Brief

The Request Brief forms part of this Agreement.

It records the Request-specific commercial and fulfilment terms, including:

  • Request ID and version;
  • Applicant;
  • Core Question;
  • three Core Curator Criteria;
  • optional preferences;
  • scope and boundaries;
  • mutual reason;
  • city and timing;
  • Curator Ready Deadline;
  • One Application tier;
  • total One Application Fee;
  • AMC Deposit;
  • AMC Balance; and
  • applicable legal versions.

The Applicant should request any material correction before confirming the Brief and paying the Deposit.

2. One Application

One Application is a request-specific service through which AMC:

  1. reviews and frames the Request;
  2. performs request-specific sourcing;
  3. evaluates relevant people;
  4. obtains staged Curator interest and consent;
  5. selects one final Curator;
  6. completes Curator Ready;
  7. discloses identity after Balance;
  8. opens and supports the private introduction;
  9. coordinates the initial online conversation;
  10. handles limited fit protection and any approved standard replacement;
  11. supports progression toward the offline meeting;
  12. collects bilateral feedback; and
  13. closes the Case through human review.

AMC helps the Applicant meet one person worth meeting. AMC is not a public directory and does not provide candidate browsing or profile shopping.

3. One Application Fee

Current standard tiers are:

  • Standard: USD 299 — Deposit USD 150 + Balance USD 149
  • Specialized: USD 599 — Deposit USD 300 + Balance USD 299
  • Exceptional: USD 1,199 — Deposit USD 600 + Balance USD 599
  • Outlier: separately approved total, Deposit, and Balance

The applicable amounts are those stated in the confirmed Request Brief.

Taxes may apply where required.

4. AMC Deposit

The Applicant actively pays the AMC Deposit after confirming the Request Brief.

AMC begins request-specific sourcing only after successful Deposit payment.

The Deposit pays for the pre-Balance work required to reach Curator Ready, including review, framing, sourcing, candidate research, outreach, evaluation, final selection, informed consent, timing confirmation, and preparation of the Curator Ready Notice.

5. Curator Ready Deadline

AMC will work in good faith to complete one qualifying Curator Ready by the date or agreed time window stated in the Request Brief.

If AMC cannot do so for reasons not materially caused by the Applicant, the Applicant may choose:

  • a full refund of the AMC Deposit; or
  • a new Curator Ready Deadline agreed with AMC in writing.

The Applicant is not required to accept an extension.

The separate Deposit Refund Policy forms part of the applicable payment terms.

6. Applicant-caused changes or delay

AMC is not required to provide a Deposit refund merely because the original Curator Ready Deadline cannot be met where the delay or failure results materially from the Applicant, including a material change to:

  • the Request;
  • Core Question;
  • Core Curator Criteria;
  • scope;
  • city;
  • timing;
  • travel plans;
  • availability; or
  • information required for fulfilment.

The same applies where the Applicant pauses, becomes materially unresponsive, provides materially inaccurate information, or otherwise prevents AMC from continuing the confirmed Request.

AMC may propose a revised Brief or deadline where appropriate.

7. Curator sourcing and selection

AMC may consider any number of potential people.

As an operating process, AMC may:

  • research an internal longlist;
  • send limited non-named context to approximately two strong candidates;
  • collect interest;
  • select one final Curator;
  • send that Curator the named Applicant / Member Card; and
  • obtain final consent and timing.

Candidate numbers are operating references, not contractual guarantees.

The Applicant does not browse, rank, or choose among potential Curators.

Preliminary interest is not final consent.

8. Information disclosed to potential Curators

During sourcing, AMC may disclose limited, non-named Applicant context to a small number of potential Curators so they can decide whether the conversation may interest them.

Only the final selected Curator normally receives the Applicant’s name and other relevant named context before Balance.

This may include:

  • Applicant name;
  • relevant public profile;
  • relevant professional background;
  • confirmed Request;
  • purpose and scope;
  • city;
  • timing; and
  • information reasonably needed for informed consent.

By confirming the Request Brief, the Applicant authorises this Request-specific disclosure subject to the Privacy Policy.

9. Qualifying Curator Ready

AMC may issue a Curator Ready Notice only after the final Curator:

  1. materially meets the three Core Curator Criteria;
  2. has reviewed the relevant named Applicant context;
  3. understands the Request and its boundaries;
  4. has genuinely agreed to meet;
  5. has confirmed a workable initial online time;
  6. has confirmed a workable offline city and window; and
  7. is ready for AMC to open the private introduction after Balance.

The Applicant receives a non-identifying Curator Ready Notice before Balance.

Once a qualifying Curator Ready has been delivered, the Deposit is normally earned.

10. AMC Balance

The Applicant actively pays the Balance.

AMC does not save a card for future automatic collection and does not automatically charge the Balance.

The Curator Ready Notice states:

  • the Balance amount;
  • the payment deadline;
  • the confirmed online timing;
  • the offline city and window; and
  • what opens after payment.

If the Balance is not paid by the stated deadline, AMC may release the Curator, close or re-review the Request, and cannot guarantee the same person or timing later.

The Deposit is normally retained because the pre-Balance sourcing and confirmation work has been completed.

11. Identity disclosure and private introduction

After successful Balance payment, AMC may disclose the final Curator’s identity to the Applicant and open the private introduction.

AMC will normally carry forward:

  • each person’s relevant context;
  • why AMC made the introduction;
  • the confirmed online time;
  • the offline intention; and
  • the relevant boundaries.

AMC remains lightly involved through Case closure.

The Applicant must not misuse, publish, scrape, sell, or improperly bypass AMC using Curator information obtained through the private process.

12. Curator status and boundaries

A Curator is an independent person.

Participation does not make a Curator an employee, agent, adviser, fiduciary, partner, or contractor of AMC merely by participating.

The One Application Fee pays AMC for its service. It does not purchase:

  • Curator time;
  • professional advice;
  • work product;
  • confidential information;
  • contacts;
  • introductions to third parties; or
  • any outcome.

Unless separately agreed between the Applicant and Curator, the Curator is not required to prepare materials, provide advice, disclose confidential information, share contacts, make further introductions, or produce a result.

13. Initial online conversation

The initial online conversation is normally approximately 30–45 minutes.

It is:

  • a genuine first conversation; and
  • a limited fit-protection stage before the larger offline commitment.

It is not:

  • a free consultation;
  • an expert trial;
  • a performance test;
  • profile shopping; or
  • a guarantee that the Applicant’s question will be answered.

After the online conversation, AMC will normally ask the Applicant privately whether the Curator appears materially consistent with the confirmed Request Brief and whether the Applicant is comfortable continuing offline.

14. Material mismatch

The Applicant may ask AMC to review a specific material inconsistency with the confirmed Request Brief.

A potentially material mismatch may include:

  • a Core Curator Criterion clearly not being met;
  • a material factual misstatement by AMC;
  • the Curator not understanding or agreeing to the stated scope;
  • a material identity, city, language, or timing inconsistency; or
  • a conflict with an express exclusion.

The following do not normally constitute a material mismatch by themselves:

  • different chemistry;
  • disagreement;
  • an optional preference not being met;
  • preference for a more prestigious person;
  • the Curator not providing a complete answer;
  • failure to produce a business outcome;
  • no further relationship developing; or
  • the Applicant changing their mind or Request.

AMC makes the final human determination.

15. Replacement

If AMC upholds a material mismatch, AMC will make one standard replacement attempt without an additional Deposit or Balance.

The replacement Curator must:

  • be selected by AMC;
  • receive the named Applicant Card;
  • provide fresh consent; and
  • confirm timing.

A previously interested person is not automatically held on standby and must consent again.

The standard replacement is normally the final fit replacement.

Operational Curator failure before a meaningful online conversation is handled separately and does not automatically consume the Applicant’s fit-replacement right.

16. Offline meeting

If both people remain willing after the online conversation, they will work toward an in-person meeting within the city and time window already agreed.

Reasonable rescheduling is preferred where illness, travel disruption, bereavement, or another no-fault event makes the original timing impractical.

AMC does not guarantee a fixed meeting speed unless expressly stated in the Request Brief.

17. Post-Balance refunds and remedies

Where a post-Balance failure occurs, AMC will seek a remedy proportionate to the failure.

A full Balance refund may normally be considered where, for reasons not materially caused by the Applicant:

  • the private introduction cannot be opened and no reasonable replacement is available;
  • no meaningful online conversation can occur and no reasonable replacement is available;
  • a material mismatch is upheld and AMC cannot provide the standard replacement; or
  • AMC cannot materially continue the post-Balance service.

A partial Balance refund may be considered where substantial post-Balance service has already been delivered but the remaining service cannot reasonably be completed and no suitable remedy is available.

The Deposit normally remains earned after qualifying Curator Ready.

A full refund including the Deposit may be appropriate in exceptional circumstances involving serious AMC identity, consent, privacy, safety, payment, or legal failure.

Nothing limits any right that cannot lawfully be excluded.

18. Circumstances normally not creating a refund

A refund is not normally due merely because:

  • the Applicant changes plans or scope;
  • the Applicant chooses not to pay the Balance;
  • the Applicant disappears or becomes materially unresponsive;
  • the Applicant no-shows or repeatedly reschedules;
  • the Applicant rejects a materially suitable Curator for a non-material reason;
  • the conversation does not produce the desired answer or outcome;
  • no transaction, investment, employment, collaboration, customer relationship, friendship, or further meeting results;
  • the Applicant violates privacy or conduct requirements; or
  • the Applicant refuses a reasonable remedy offered under this Agreement.

19. Conduct, privacy and safety

Both participants must act lawfully, respectfully, privately, and without coercion or extraction.

Prohibited conduct includes:

  • harassment;
  • deception or material misrepresentation;
  • unlawful discrimination;
  • recording without consent;
  • publishing private materials without consent;
  • misuse of contact information;
  • aggressive solicitation;
  • pressuring another person for confidential information; or
  • treating another participant as a captive lead.

AMC may pause or terminate a Case and restrict future access where trust, privacy, safety, legal, or conduct concerns arise.

20. Feedback and Case closure

AMC may request private feedback from both participants.

Normal Case completion occurs after:

  • the offline meeting;
  • Applicant final feedback;
  • Curator final feedback; and
  • human AMC review and closure.

Introduction opening or completion of the online conversation alone does not constitute full Case completion.

21. Duet

Duet is not included in the One Application Fee and cannot be purchased through this Agreement.

AMC may grant Duet after:

  • an offline meeting has occurred;
  • feedback is positive from both sides;
  • there is no trust or safety block; and
  • AMC approves the Case through human judgment.

Duet does not currently include a fixed quota, credits, discount, or guaranteed future introduction.

22. Payment, tax and invoice

Stripe processes Deposit and Balance payments.

Unless otherwise stated, payments are in USD.

AMC may collect billing name, company, billing address, and tax ID where appropriate.

QICE Capital Partners Limited provides the applicable receipt or invoice.

AMC does not store full payment-card details.

23. No guarantee

AMC does not guarantee:

  • advice;
  • investment;
  • employment;
  • a customer;
  • a transaction;
  • collaboration;
  • friendship;
  • further access;
  • further introductions; or
  • any other result.

24. Electronic acceptance

The Applicant accepts this Agreement by:

  • confirming the Request Brief;
  • accepting the applicable legal terms; and
  • successfully paying the AMC Deposit.

Payment of the Balance activates identity disclosure and the post-Balance stage.

25. Incorporated documents and order

This Agreement incorporates:

  • the confirmed Request Brief;
  • the Deposit Refund Policy;
  • the Terms of Service; and
  • the Privacy Policy.

For Request-specific commercial terms, the confirmed Request Brief and this Agreement control over general Terms where there is a direct conflict.

26. Governing law

This Agreement is governed by the laws of Hong Kong, subject to any mandatory law that applies.

The parties should first attempt good-faith resolution.

Subject to applicable law, Hong Kong courts have jurisdiction.
