Terms of Service

These Terms of Service (“Terms”) govern access to and use of ASIA Members Club (“AMC”), operated by QICE Capital Partners Limited, trading as ASIA Members Club, Unit B, 12/F, Hang Seng Causeway Bay Building, 28 Yee Wo Street, Causeway Bay, Hong Kong.

By using AMC’s website, request form, payment flow, WhatsApp communications, emails, introduction service, Member App when available, or related services (together, the “Service”), you agree to these Terms, our Privacy Policy, and any product-specific agreement accepted at checkout.

If you do not agree, do not use the Service.

1. What AMC Is

AMC reviews a person’s request and, where appropriate, introduces the Applicant to one Curator whom AMC believes may be worth meeting.

AMC uses human judgment to understand the request, identify a potential Curator, give both people enough context to decide whether to meet, and open a private introduction channel when both sides agree.

AMC is currently operating a soft launch. Submitting a request is free during this stage.

AMC is not a public directory, ranking or review system, professional networking platform, dating service, employment agency, travel agency, tour operator, guide marketplace, concierge marketplace, financial adviser, investment adviser, wealth manager, immigration adviser, legal adviser, medical service, or emergency service.

AMC does not sell access to a list of people. Applicants and Members do not browse or select Curators.

2. Eligibility

You must be at least 18 years old and able to enter into a binding agreement.

By using the Service, you represent that:

  • the information you provide is accurate, current, and truthful;
  • you will comply with applicable laws;
  • you will use the Service respectfully and in good faith; and
  • you will not use AMC to exploit, pressure, solicit, or extract value from another person.

AMC may refuse, pause, restrict, or terminate access where it reasonably believes that a person has provided false information, misused the Service, violated these Terms, or created safety, trust, legal, operational, or reputational risk.

3. Current Soft-Launch Request Process

During the current soft launch, the request process generally works as follows:

  1. The Applicant submits a request for free.
  2. AMC reviews the Applicant and request and may ask follow-up questions or suggest a reframe.
  3. AMC decides whether it can serve the request.
  4. If AMC proceeds, it determines the applicable One Application tier.
  5. AMC sources and contacts a potential Curator.
  6. AMC gives the Curator limited information relevant to deciding whether to meet.
  7. If the Curator is open to meeting, AMC gives the Applicant a non-identifying description of the proposed Curator.
  8. When the Curator has agreed and the introduction is ready to open, AMC sends the Applicant a private payment link.
  9. Payment is charged immediately at checkout.
  10. AMC discloses the Curator’s identity and opens the private introduction channel, normally through WhatsApp.

No checkout session is created merely because a free request is submitted.

AMC does not promise a fixed sourcing period. AMC works toward the timing stated in the request, which may fall within the current month, quarter, year, or another agreed window.

AMC may stop, pause, or reframe sourcing if the request changes materially, relevant circumstances change, or AMC no longer believes the introduction should proceed.

4. Request Review and Future Review Fees

During the current soft launch, submitting the initial request is free.

If AMC cannot serve a request, AMC may briefly explain why or suggest a different direction. This does not create an obligation to provide consulting, research, or a detailed written assessment.

AMC may introduce or change request-review fees in the future. Any fee will be shown before submission and will not apply retroactively.

5. One Application Pricing

AMC publicly displays the following current One Application tiers:

  • Standard — USD $299
  • Specialized — USD $599
  • Exceptional — USD $999
  • Outlier requests — a separately approved quote above USD $999

AMC assigns the tier only after reviewing the request.

Factors may include complexity, specificity, sourcing difficulty, timing, geography, the rarity of the required perspective, and the amount of judgment and work involved.

The approved tier and price will be shown in the private payment link before payment.

6. What the One Application Fee Covers

The One Application Fee is allocated as follows:

  • 50% — Review, judgment, and sourcing portion
  • 50% — Introduction-opening portion

The review, judgment, and sourcing portion covers AMC’s work in reviewing the Applicant and request, framing or reframing the need, searching its network, evaluating potential fit, contacting a Curator, and preparing the introduction.

The introduction-opening portion covers disclosure of the confirmed Curator’s identity and opening the private introduction channel.

The One Application is formally delivered when AMC opens the private introduction channel.

The fee does not purchase the Curator’s time, advice, labour, contacts, or agreement to produce any outcome.

7. Curator Information Before Payment

Before payment, AMC may describe the proposed Curator in non-identifying terms, including general background, city, relevant experience, and why AMC believes the conversation may matter.

AMC will normally withhold the Curator’s name, company, direct contact information, public profile, and uniquely identifying details until payment is complete and the private introduction channel is opened.

The Applicant may decide not to pay and proceed. In that case, no private introduction channel is opened and the Curator’s identity is not disclosed.

8. Curators

Curators participate independently and without compensation from AMC unless AMC expressly agrees otherwise in writing.

A Curator is not an employee, agent, representative, partner, adviser, fiduciary, or contractor of AMC merely because AMC proposes or makes an introduction.

AMC’s Curator review may include a trusted vouch and review of public professional information. AMC does not promise comprehensive identity, criminal, financial, employment, licensing, or background checks.

Every Curator may accept or decline a proposed meeting without explanation.

Curators and Applicants may naturally discuss work, collaboration, or business. Neither person may treat the other as a lead, target, captive audience, or source of value to be extracted.

9. Payments

Payments are processed by third-party providers such as Stripe. AMC does not store full card details.

You agree to pay the amount and applicable taxes shown at checkout.

Payment is requested only after a proposed Curator has agreed and the introduction is ready to open.

The payment link is tied to the saved request, approved fee, Applicant identity, Curator description, and current One Application Service Agreement.

AMC may require the Applicant to accept the One Application Service Agreement, these Terms, and the Privacy Policy through a checkout checkbox or similar electronic method.

10. Refunds Before the Introduction Channel Opens

Because the review, judgment, and sourcing work has already been performed before payment is requested, the first 50% of the One Application Fee is earned when payment is completed.

If, after payment but before the private introduction channel opens:

  • the confirmed Curator withdraws;
  • AMC decides the introduction should not proceed; or
  • AMC is otherwise unable to open the agreed introduction,

AMC will normally refund the 50% introduction-opening portion.

AMC may instead offer a replacement Curator where appropriate, but the Applicant is not required to accept a replacement before the original introduction has been opened.

11. Delays, Rescheduling, and Failure to Meet

AMC does not guarantee that an in-person meeting will occur by a fixed date.

The relevant timing is the window stated in the request or later agreed by the Applicant, Curator, and AMC. A request may be intentionally non-urgent and may contemplate a meeting later in the year.

Once AMC opens the private introduction channel, the Applicant and Curator are responsible for making reasonable efforts to communicate and arrange the meeting.

If illness, travel disruption, visa issues, extreme weather, bereavement, government action, or another circumstance outside the reasonable control of the participants prevents the meeting, AMC will first try to preserve the introduction through reasonable rescheduling within the agreed timing window.

If no timing window was stated, AMC may treat 90 days after the introduction opens as the default initial rescheduling period, while allowing a longer period where both people remain willing.

If the original introduction cannot reasonably proceed, AMC will first try to provide one reasonable replacement introduction.

If AMC cannot provide a reasonable replacement, AMC will normally refund 50% of the One Application Fee. The review, judgment, and sourcing portion remains earned.

If the Applicant declines a reasonable replacement without a material reason, AMC is not required to issue a refund.

12. Silence or Non-Response After Opening

If a Curator does not meaningfully respond after the private introduction channel opens:

  • AMC may follow up after approximately 7 days;
  • if there is still no meaningful response after approximately 14 days, AMC may treat the original introduction as unable to proceed; and
  • AMC will first try to provide one reasonable replacement.

If AMC cannot provide a reasonable replacement, AMC will normally refund 50% of the One Application Fee.

These periods may be adjusted where the agreed meeting window is longer, the Curator has communicated limited availability, or the circumstances reasonably justify more time.

13. No Refund for Dissatisfaction or Changed Plans

Except where required by law or expressly stated in the One Application Service Agreement, a refund is generally not available because:

  • the Applicant later changes city, timing, travel plans, availability, goals, or preferences;
  • the Applicant becomes unreachable or does not make reasonable efforts to schedule;
  • the private introduction channel has been opened and the Curator remains willing to meet;
  • the Applicant decides not to meet after learning the Curator’s identity;
  • the Applicant or Curator does not enjoy the conversation;
  • the meeting does not produce a desired personal, professional, commercial, or social outcome;
  • the Applicant provided inaccurate, incomplete, misleading, or inappropriate information;
  • the Applicant misuses AMC or violates these Terms; or
  • the payment is disputed, reversed, charged back, or flagged for fraud.

AMC may issue a different remedy at its discretion where fairness, safety, or unusual circumstances justify it.

14. Duet Membership During the Soft Launch

Duet is not currently sold as a package of introductions.

During the soft launch, an Applicant will normally be granted Duet Member status where:

  • the in-person meeting has taken place;
  • both the Applicant and Curator provide positive feedback about the meeting; and
  • AMC identifies no trust, safety, conduct, or fit concern that should prevent membership.

AMC may determine in good faith whether feedback is positive and sufficient.

Duet is a membership identity and, when available, a right to access the Member App.

Duet does not include:

  • free introductions;
  • a fixed introduction quota;
  • fixed pricing or discounts for future requests;
  • guaranteed acceptance of a future request;
  • a fixed sourcing speed; or
  • automatic access to future Maestro features.

Every future request is separately reviewed and separately priced.

Soft-launch Duet status does not currently have a fixed expiry date. It continues until the Member withdraws, AMC terminates or changes access under these Terms, or AMC introduces a new membership structure with reasonable notice.

15. Member App

The Member App is in development and is not guaranteed to launch by a particular date.

When available, AMC intends to make the App accessible to active Members. Functions may include submitting requests, viewing introduction history, maintaining Member context, receiving communications, and accessing Member features.

The App and its functions may be incomplete, experimental, changed, tested with selected Members, suspended, or discontinued.

Access to the App does not guarantee that a request will be accepted or that a particular Curator or feature will be available.

16. Maestro, Private Rooms, and Wealth Navigator

AMC may preview future products or features, including Maestro Membership, private peer rooms, and Wealth Navigator.

Unless AMC expressly offers a feature for purchase in writing:

  • it is not a current contractual benefit;
  • it has no guaranteed launch date;
  • its price, eligibility, form, and availability remain subject to change; and
  • a website description does not create a right to demand delivery.

AMC currently expects Maestro, if launched, to be available only to eligible Duet Members.

AMC may allow a future Maestro Member to propose a private room. A right to propose a room is not a guarantee that AMC will convene it.

Wealth Navigator, if launched, will be a private peer conversation and not investment advice, financial advice, wealth management, portfolio management, tax advice, legal advice, brokerage, investment research, or any advisory service.

17. Places

A Curator may suggest or choose a place that suits the conversation, such as a quiet table, studio, workshop, or neighbourhood venue.

The place is part of the context of the introduction. AMC does not currently sell venue access, make bookings as part of the One Application, or receive a commission from the place.

18. WhatsApp and Communications

AMC’s primary introduction channel is WhatsApp unless stated otherwise.

By using AMC, you agree that AMC may contact you through WhatsApp, email, the Member App when available, or other information you provide for:

  • request review;
  • sourcing and introduction coordination;
  • payment and refund communications;
  • reminders and follow-ups;
  • feedback;
  • membership and App access; and
  • service or safety notices.

Third-party communication services are governed by their own terms and privacy practices.

19. No Guarantee of Outcome

AMC does not guarantee that an introduction will lead to friendship, business, investment, employment, collaboration, romance, social access, travel outcomes, a decision, a transaction, or any other result.

AMC does not guarantee that a person will respond, meet, continue communicating, behave in a particular way, or remain available.

AMC’s role is to use reasonable efforts and judgment to review, source, and open an introduction. Outcomes depend on the people and circumstances involved.

20. In-Person Interactions and Safety

You are responsible for your interactions with people you meet through AMC.

AMC is not responsible for the conduct, statements, identity, background, reliability, legality, suitability, safety, or behaviour of an Applicant, Member, Curator, venue, host, or third party.

Use independent judgment and reasonable caution. When appropriate, meet in a public or professionally operated place, tell someone you trust where you are going, and do not share sensitive personal, financial, or security information with someone you do not know well.

To the fullest extent permitted by law, you assume the ordinary risks of online and in-person interactions.

21. Conduct

You agree not to:

  • use AMC for illegal, harmful, deceptive, abusive, harassing, exploitative, unsafe, or fraudulent purposes;
  • misrepresent your identity, background, affiliation, intentions, timing, or qualifications;
  • harass, threaten, stalk, intimidate, exploit, or harm another person;
  • treat a Curator, Applicant, or Member as a sales lead or captive audience;
  • pitch, solicit, recruit, advertise to, or sell to another participant without permission;
  • harvest contact information or build a competing contact list;
  • disclose another person’s private information without permission;
  • record, transcribe, photograph private material, or publish a private conversation without the required consent;
  • bypass AMC before the introduction is opened in order to avoid payment;
  • scrape, copy, reverse engineer, overload, interfere with, or disrupt the Service; or
  • violate law or another person’s rights.

AMC may investigate, restrict, suspend, remove, or terminate access for conduct that undermines trust, privacy, safety, quality, or the purpose of AMC.

22. User Content and Public Features

You are responsible for information, text, images, links, profiles, requests, feedback, quotations, and other content you provide (“User Content”).

You represent that you have the right to provide it.

You grant AMC a limited, worldwide, royalty-free licence to host, store, process, use, reproduce, and adapt User Content as reasonably necessary to operate, secure, and improve the Service.

AMC will not publicly feature your identifiable name, photo, quotation, profession, city, story, or introduction without permission.

23. No Public Directory or Peer-to-Peer Access

AMC does not provide a public Member or Curator directory or an open peer-to-peer system.

You may not use AMC to bypass AMC-mediated introductions, directly solicit Curators before payment, scrape information, or use AMC’s network outside the intended purpose of the Service.

24. Third-Party Services

AMC may use or link to third-party services, including Stripe, WhatsApp, email providers, hosting providers, AI providers, database tools, public profiles, social services, and venues.

AMC does not control third-party services and is not responsible for their content, terms, privacy practices, security, availability, or conduct.

25. Intellectual Property

AMC owns or licenses rights in its website, Member App, brand, design, text, graphics, logos, software, workflows, databases, curation methods, and related materials.

You may not copy, modify, distribute, sell, rent, reproduce, scrape, reverse engineer, or create derivative works from the Service without permission.

26. Service Availability and Changes

AMC may change, test, suspend, restrict, or discontinue any part of the Service.

Certain functions may be available only to selected Members, Curators, cities, cohorts, or test groups.

AMC does not guarantee uninterrupted, error-free, secure, or continuous availability.

27. Suspension and Termination

You may stop using AMC at any time.

AMC may suspend or terminate access, decline Duet status, withdraw membership, or refuse future requests where it reasonably believes that a person:

  • violated these Terms;
  • created safety, privacy, trust, legal, or reputational risk;
  • misused an introduction;
  • provided false or misleading information;
  • repeatedly failed to respond or attend; or
  • acted in an extractive, abusive, or inappropriate manner.

Provisions concerning payment, confidentiality, intellectual property, disclaimers, liability, disputes, and matters that by nature should survive will remain effective.

28. Disclaimers

The Service is provided on an “as is” and “as available” basis.

To the fullest extent permitted by law, AMC disclaims warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, non-infringement, availability, accuracy, reliability, safety, quality, and suitability.

Nothing in these Terms excludes rights or warranties that cannot lawfully be excluded.

29. Limitation of Liability

To the fullest extent permitted by law, AMC and its founders, officers, directors, employees, contractors, agents, affiliates, service providers, and licensors will not be liable for indirect, incidental, consequential, special, exemplary, punitive, or similar damages, including loss of profits, data, goodwill, opportunity, emotional wellbeing, or damages arising from interactions with people or third parties.

To the fullest extent permitted by law, AMC’s total liability for a claim will not exceed the amount paid to AMC for the specific One Application or product giving rise to the claim.

Nothing limits liability that cannot lawfully be limited.

30. Indemnification

To the fullest extent permitted by law, you agree to indemnify and hold harmless AMC and its founders, officers, directors, employees, contractors, agents, affiliates, service providers, and licensors from claims, losses, liabilities, damages, costs, or reasonable legal expenses arising from:

  • your misuse of the Service;
  • your violation of these Terms;
  • your violation of law or another person’s rights;
  • your User Content; or
  • your interactions, communications, meetings, or disputes with another person.

31. Governing Law and Disputes

If you have a concern, contact hello@asiamembers.club and give AMC a reasonable opportunity to resolve it.

These Terms and disputes arising from them are governed by the laws of Hong Kong, without regard to conflict-of-law rules.

Subject to applicable law, the courts and tribunals of Hong Kong have exclusive jurisdiction.

32. Notices

AMC may provide notices by email, WhatsApp, the Member App, website posting, or another reasonable method.

You are responsible for keeping your contact information accurate.

33. Entire Agreement and Order of Terms

These Terms, the Privacy Policy, and any product-specific agreement accepted at checkout form the agreement between you and AMC.

If there is a conflict:

  1. the One Application Service Agreement or another product-specific agreement controls that purchase;
  2. these Terms control general use of the Service; and
  3. the Privacy Policy controls personal-information handling.

If a provision is unenforceable, the remaining provisions remain effective.

No agency, partnership, joint venture, employment, fiduciary, advisory, or professional-client relationship is created by your use of AMC.

34. Changes to These Terms

AMC may update these Terms from time to time. We will update the date at the top and may provide additional notice where changes are material.

Changes do not retroactively alter a completed purchase unless the Applicant agrees or applicable law requires it.
